Our Legal Division is seeking a meticulous and proactive Paralegal to provide essential support to our in-house legal team. This role will involve handling various legal/administrative tasks, with attorney supervision, related to both transactional and litigation matters, including, but not limited to, contract administration and review; credit application review and approval; lease agreement review; document management, filing, and reporting, including the tracking of department deliverables for all members of the Legal Division; coordination of legal matters with Wismettac’s other departments, including the explanation and implementation of legal policies within other departments (such as HR and immigration compliance, ABC compliance, ESG compliance, privacy compliance); and assistance in tracking litigation matters with outside law firms and oversight of outside counsel. The ideal candidate will be proactive, detail-oriented, highly organized, and possess a strong understanding of corporate law department tasks.
Essential Job Functions
• Competency in and responsibility for the drafting, review, and revision of legal documents and correspondence (including corporate contracts, general agreements, supplier agreements, credit applications, real estate leases), notices, and other transactional documents, especially editing, formatting, and finishing legal documents in MS Word and PDF.
• Track legal and company compliance deadlines, renewals, and obligations, ensuring timely execution.
• Organize and manage both electronic and physical files for legal matters (transactional and litigation), including contracts, correspondence, pleadings, discovery, and other relevant documents.
• Coordinate document execution and notarization processes as needed, with interface with Corporate Counsel or Manager of Contract Administration.
• Conduct routine audits of document management systems to ensure accuracy and completeness, including maintaining the Legal Division’s task management software (as implemented).
• Schedule and coordinate meetings, calls, and presentations for the legal team, including preparing agendas and meeting materials.
• Handle internal and external communications related to transactional and litigation matters, including liaising with stakeholders, lawyers, consultants, and vendors.
• Prepare and process internal reports, expense reports, and invoices related to legal transactions.
• Support the legal team in managing various stages of corporate transactions, including due diligence, closing, and post-transaction activities.
• Assist with the preparation and tracking of governmental filings, corporate governance matters, and compliance documentation.
• Conduct preliminary research and due diligence as required for transactions and corporate maintenance.
• Ensure adherence to corporate policies and legal requirements in all documentation and administrative processes.
• Maintain accurate and up-to-date records of all transactional activities, ensuring proper documentation for audits and reviews.
• Provide legal support to other corporate divisions and branch offices, including the Human Resources and Facilities Divisions.
• Review contracts and ensure legal issues have been identified and resolved by preparing summaries and issue lists to facilitate the resolution of any outstanding issues.
• The ability to handle multiple tasks and deadlines in a timely fashion and under time constraints, including meeting deliverables, and responding to phone calls, e-mails, and other correspondence efficiently and responsively.
• Co-manage Corporate Counsel’s calendar.
Experience/ Training/ Education
• 6 years of experience as a Paralegal within a transactional law firm department are required.
• Experience within an in-house corporate legal department is preferred.
• Experience with litigation is also preferred.
• Experience with contract management and drafting is required.
• Experience or a general understanding of employment law issues, real estate issues, trademark and band protection issues, and/or food law compliance issues is preferred.
• Paralegal certification preferred
• An associate's Degree in Paralegal Studies, Legal Administration, Business Administration, or a related field is required. A bachelor's Degree in Paralegal Studies, Legal Administration is preferred.
Knowledge, Skills, and Ability
• Knowledge of computer systems and applications; must be highly computer proficient, including with Windows OS, Microsoft Office programs, internet use and research, PDF and DocuSign implementation, and email.
• Knowledge of transactional legal workflows and tasks, and basic litigation tracking.
• Proficiency in Microsoft Office Suite: high proficiency with Word and Outlook; basic proficiency with Excel and PowerPoint; high proficiency with Windows legal document management systems.
• Understanding of corporate legal terminology, transactional procedures, and compliance requirements.
• Excellent organizational and time-management skills with a demonstrated ability to manage multiple tasks and prioritize effectively.
• High attention to detail and accuracy in document preparation and data management.
• Ability to work independently and collaboratively within a team environment.
• Professional demeanor with the ability to handle sensitive and confidential information.
• Strong problem-solving skills and the ability to adapt to changing priorities and deadlines.
• Ability to exercise independent judgment and take initiative to accomplish objectives promptly with moderate to little supervision, but with attorney approval as needed for Legal tasks and advice.
• Ability to communicate clearly with and effectively present information to Corporate Counsel, Contract Administration Manager, executives, and managers.
• A proactive, collegial team member with effective client relations skills.
• Possess the ability to read and write to proofread typed material for grammatical, typographical, or spelling errors of routine law office correspondence and legal case matters.
• Possess interpersonal skills necessary to communicate and follow instructions effectively from a diverse group of clients, attorneys, and staff, and provide information with ordinary courtesy and tact.
• Understanding attorney-client privilege, work product protections, and the confidentiality of corporate documents and decisions, as well as knowing how to maintain and generally guide other departments on these matters, will be essential.
Working Conditions.
Work in offices close to those of executive management and C-level, therefore, maintaining confidentiality of legal matters and being able to deliver and explain reasoning will be crucial. Because of the nature of the work, the position may require working more than 40 hours per week. Working under pressure is unavoidable when schedules change and problems arise, but deadlines and goals must still be met.
